Sometimes a foreigner wishes to establish a company in Mexico, either to purchase Real Estate through this company or to set up a business venture or both. The company will be a Mexican entity and can operate the same way any other Mexican company can. However, since it is either fully or partially owned by foreigners, it must also submit an annual report of activities to the Ministry of Foreign Relations, which is part of the Federal Government. This is much simpler than it sounds, and Amigo Country can explain how to do this and can even do it for you and give you the finalized documentation of compliance.
The company must also, like any other Mexican company, keep accounting records and pay taxes on its operations. If however, the company is set up solely for the purpose of Real Estate ownership, it will not have to pay any taxes on operations, only the property taxes on its holdings.
To create this company, it must be done before a Notario Público and must be inscribed as well in the Public Registry. The Notario requests authorization for the name and, if it is the case, for the purchase of the property and will set up the Articles of Incorporation stating the object or purpose of the company. This is the official document that is inscribed into the Public Registry.
Once this is done, the company must be registered as well with the tax authorities and is issued a tax number. With this, the company can then open a bank account.
